The following outlines terms and conditions for use of this web site and membership of ReefPlaza.com.  If you do not agree with these Terms of use, your only recourse is to immediately cease using this site.

Termination / Modification

Service Provided "As Is" Without Warranties

1. In no event will ReefPlaza.com (or its directors, officers, employees, or affiliates) be liable to any party for any direct, indirect, punitive, special, incidental or other consequential damages arising directly or indirectly from any use of this web site.
2. The information and services on this web site are provided "as is" and without warranties as to performance of, merchantability or any other warranties whether expressed or implied. The user assumes the entire risk of using this web site and the services provided hereon.

3. Any and all claims for products and services listed on this web site is based on information provided by the manufacturers of said products and services, or information in the public domain. We do not necessarily endorse or even verify any such claims.

4. Due to the labor-intensive nature of web development, the frequency of changes in market and business conditions, and other factors not specified, we do not guarantee nor warrant that all manufacturer's claims relating to the products and services have been correctly transcribed to this web site. We therefore disclaim all liability for accurateness, completeness or the timeliness of the information contained on this web site, including, but not limited, errors or omissions relating to human, mechanical, typographical or other errors or omissions.
5. ReefPlaza.com, owner of this web site, disclaims all liability for all products or services produced by any person or entity other than itself.
6. Any mentions of, or promises to increase web site traffic, make money, whether express or implied are strictly based on the authors' opinions of what is believed to be possible, with appropriate facilities, funding, management, and expertise in sales, marketing, writing, general business skills, and any other necessary skills not listed.
7. ReefPlaza.com (or its directors, officers, or employees, or affiliates) does not intend to render legal, accounting or other professional advice in the documents contained herein.

ReefPlaza.com Membership

1. ReefPlaza.com membership is free.
2. Membership does not imply any employment relationship between ReefPlaza.com and the member. Neither does it imply any endorsement of the member's web site or business by ReefPlaza.com
3. ReefPlaza.com offers membership to all webmasters, who operate web site's in accordance with our acceptance criteria, and whom we chose to accept.
   
   All member sites must:
   • Must be related to Salt Water Fish, Aquariums, Oceans, World Reefs, or Reef Related including commercial websites that offer products for sale to the general public.
   • Must not consist purely of banners, or have no content.
   • We do not allow sites containing illegal materials, including (but not limited to) sites which contain, link to, promote or are promoted by:
     • Nudity, sexual themes, profanity, offensive content, etc.
     • Gambling, firearms, or drugs.
     • Pyramid schemes, chain letters, etc.
     • Hate material or gross violence, etc.
     • Spam e-mail or newsgroups postings, etc.
     • Illegal materials, materials that violate copyrights, etc.
     • ROMs, illegal downloads, MP3, emulators, etc.

4. Right Of Refusal: ReefPlaza.com may refuse membership to any person or entity, at its sole discretion and without giving reasons.  ReefPlaza.com may also deny any IP address access to its site at any time without giving any reason.
5. Multiple Account Rules: A person possessing more than one web site may sign up for 1 account per web site, provided all sites are fully in compliance with these terms & conditions, and are totally separate from one another.
6. Members are required to give and maintain a valid e-mail contact address in all their accounts, at all times.
7. Members agree to receive e-mail updates from ReefPlaza.com  for the duration of their membership. Such updates may include, but are not limited to, statistical information on their use of the service, additional marketing offers and news, etc.
8. ReefPlaza.com may include traffic sent to this site by members in aggregate statistics. Furthermore, member grants ReefPlaza.com a royalty-free license to mention, highlight, or link to publicly accessible areas of the member's web site(s) without charge, in both online and offline publications, press releases, etc.
9. ReefPlaza.com may terminate a person's or entity's membership at any time, and without necessarily giving notice or reasons.
    
10. Sites inactive for more than 14 resets may automatically be deleted without notice, generally 2 weeks. You may rejoin if you wish.

User/Member Responsibilities

PLAY FAIRLY!

1. Members agree to indemnify and hold harmless ReefPlaza.com (and its directors, officers, employees or affiliates) for their use of this service, and the content of their web site.
2. Members agree to place the ReefPlaza.com "html code", unaltered, on their web site. They may place the code on as many pages as desired of the same web site provided all pages are in full compliance with our acceptance criteria. They may not place the code on additional web sites without the specific written authorization of ReefPlaza.com.
3. No Artificially Generated/Inflated Traffic: Members "earn" traffic to their web site based on the number of visitor votes to the "html code". Members may not artificially inflate such traffic counts by using robots, hit bots, automated agents, software, scripts, traffic generating services, popup pages, popunder pages, bulk email, spam/opt-in, etc. The only acceptable way to earn credits for visitors to their web site is from real people clicking through the ReefPlaza voting web site from the participating website on there own good will, using web-browser software, and from the unaltered "html code" being displayed by said web-browser software.
4. No Spam/Unsolicited/Opt-in Email: In no event may members use Newsgroup/Usenet postings, unsolicited "spam", Opt-in e-mail to promote their referral link "html code".
5. No use of "Traffic Generating Services".
6. In the event that member's violation of this agreement causes downtime, reduction in ReefPlaza.com service availability, or inaccessibility of this or any other ReefPlaza.com web site, or in the event that a member is found to be artificially generating traffic, or in the event that a member is found to be using any of the above mentioned tactics, the member agrees to pay penalty charges to ReefPlaza.com.
   • This provision specifically includes downtime, use of bandwidth, reduction of service availability, or inaccessibility caused by the actions of a third party (e.g. hosting provider or ISP) which are triggered as a direct or indirect result of a member's violation of this agreement.
   • Compensation to ReefPlaza.com will be calculated at the rate of US $1,000, plus (for each ReefPlaza.com site) US $100 per hour (or part thereof) of downtime, service reduction or service inaccessibility, plus $50 per Gigabyte (or part thereof) of bandwidth used by artificially generated traffic, plus $5 per spam e-mail sent by the member, plus $100 per newsgroup posted to by the member. In the event that some of these values are not readily or easily quantifiable, ReefPlaza.com will provide reasonable estimates of such values.
   • Furthermore the member agrees to pay any and all costs, damages, losses, etc., incurred by third parties which occur as a direct or indirect result of the member's violation of this agreement.

The member's liability for such charges and costs, as specified above, shall survive the termination of their membership, this agreement, and even the termination of the ReefPlaza.com service.

Tracking
ReefPlaza.com will be solely responsible for tracking all traffic, etc., and numbers produced by ReefPlaza.com are not subject to dispute.

Interpretation & Governing Law
This agreement shall be interpreted in accordance with the laws of the State of Ohio and The United States of America.
